1. Introduction

The use of any product, service, or feature ("the Materials") available through the internet websites accessible at www.edves.com and related domains (collectively, "the Website") shall be governed by the following Terms of Use.

EDVES is an Educational Management Information System (E.M.I.S.) and a software service that automates educational processes from enrolment and registration to result computation and publishing. These terms constitute a legally binding agreement between you ("User," "you," or "your") and Edves Inc ("EDVES," "we," "us," or "our").

Important: By accessing or using our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.

2. Acceptance of Terms

By accessing, browsing, or using the EDVES platform, you accept and agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, you must not use our services.

These terms apply to all users of the platform, including but not limited to:

  • Educational institutions and their administrators
  • Teachers and academic staff
  • Students
  • Parents and guardians
  • Third-party service providers

We reserve the right to modify these Terms of Use at any time. Continued use of the platform after any such changes constitutes your acceptance of the new terms.

3. User Conduct

As a user of the EDVES platform, you agree to conduct yourself in accordance with the following standards:

3.1 Content and Promotions

  • You agree to make no promotions or uploads that involve unlicensed use of materials protected by copyright or trademark law
  • All promotions and content must be fully compliant with applicable federal and state laws, including laws regarding network abuse, unsolicited messaging, and advertising disclosure
  • You agree to only promote items within the guidelines of the payment integration

3.2 Platform Integrity

  • You agree not to engage in activities that interfere with our information tracking or flow of information
  • You agree not to attempt to gain unauthorised access to any portion of the platform or its related systems
  • You agree not to use automated systems or software to extract data from the platform without permission

4. Prohibited Activities

The following activities are strictly prohibited on the EDVES platform:

4.1 Prohibited Content

  • Banned Products: You agree not to promote any banned, outlawed, or unfit product with our site or its logo
  • Inappropriate Content: You agree not to include any nude, indecent, or pornographic content in any uploads or advertisements
  • Misleading Information: You agree not to deceive or mislead prospective candidates as to the facilities (tangible or otherwise) available at your institution

4.2 Spam and Unsolicited Communications

Warning: Violation of spam policies may result in immediate account termination without warning.

  • You agree not to SPAM any URL that contains our links or redirects to sites with our branding
  • You agree never to send broadcast emails to anyone unless they have provided double opt-in consent with recorded IP address, name, date, and time
  • If our host or backbone server requests removal of any member for SPAM violations, such removal will be executed if we agree with the complaint

4.3 Fraudulent Activities

  • Using puffs or any other misleading graphics or statements of fact constitutes fraud
  • Misrepresenting institutional capabilities or facilities is strictly prohibited
  • Any attempt to manipulate payment systems or financial transactions is prohibited

5. Institution Obligations

Every educational institution subscribing to this software service is required to fulfil the following obligations:

5.1 Technical Requirements

  • Internet Connectivity: Maintain reliable internet access for platform usage
  • Hardware Provision: Provide necessary hardware for staff to access and use the system
  • Data Preparation: Prepare and provide sheets to transcribe texts to digital format as required

5.2 Operational Requirements

  • Staff Training: Undertake the training of designated staff member(s) in the use of the software
  • Data Upload: Upload the required computed data upon subscription
  • Financial Inclusion: Allow financial inclusion features of the software service for the subscriber
  • Fiduciary Duties: Maintain a prompt and high sense of fiduciary duties among all parties

EDVES provides onboarding support and training resources to help institutions meet these requirements.

6. Communications Policy

The EDVES platform provides communication tools to facilitate educational administration. The following rules govern the use of these communication features:

Restriction: Emailing your staff, students, and parents about matters that are not directly or inversely connected with this software service is strictly forbidden.

6.1 Permitted Communications

  • Academic announcements and updates
  • Fee payment reminders and financial notifications
  • Attendance and performance reports
  • School event notifications related to educational activities
  • Emergency communications affecting student welfare

6.2 Prohibited Communications

  • Marketing or promotional content unrelated to education
  • Political messaging or campaigning
  • Personal solicitations
  • Third-party advertisements

7. Information Accuracy

You warrant that every piece of information supplied to the EDVES platform shall be true, correct, and not misleading in any way.

Legal Notice: Providing false, incorrect, or misleading information may attract sanctions, including but not limited to account suspension, termination, and legal action.

7.1 Your Responsibilities

  • Verify all data before uploading to the platform
  • Promptly update any information that becomes outdated or incorrect
  • Report any errors or inaccuracies discovered in the system
  • Maintain accurate student records and academic data

7.2 Data Quality Principle

The EDVES platform operates on a "garbage in, garbage out" principle. The accuracy and quality of outputs (reports, transcripts, analytics) depend entirely on the accuracy and quality of data input. EDVES cannot be held responsible for errors resulting from incorrect data entry.

9. Trademarks

Publications, products, logos, content, or services referenced herein or on the site are the exclusive trademarks or service marks of Edves Inc.

  • The EDVES name, logo, and all related marks are registered trademarks
  • Other logos associated with particular institutions' names mentioned on the site may be the trademarks of their respective owners
  • Use of our trademarks without express written permission is prohibited
  • Open source components are used in accordance with their respective licenses

10. Limitation of Liability

IN NO EVENT will EDVES be liable for the following:

  1. Indirect Damages: Any incidental, consequential, or indirect damages for loss of profit, business interruption, loss of programs or information, and the like arising out of the use of or inability to use the service, or any information or transactions provided on this platform, or any delay of such information or service β€” even if EDVES or its agents or channel partners have been notified or advised as to the possibility of such damages.
  2. Data Accuracy: Any claim attributable to errors, omissions, or other inaccuracies in the service and/or material or information obtained through the service. The system operates on a "garbage in, garbage out" basis.
  3. Technical Failures: Any claim for loss or damages for data loss or any other technical failure arising from circumstances reasonably unforeseeable or beyond human control that can create a force majeure or such other intervening factor.
  4. Payment Integration Issues: Any claim for loss and damages resulting from any technical failure in the payment integration which is a direct result of malfunction from the institution's financial institution of choice, the e-payment platform, or any technical failure that is reasonably unforeseeable or beyond immediate human control.

EDVES makes no representation about any other website which you may access through this one or which may link to this site. When you access a third-party site, you do so at your own risk.

11. Indemnification

It is mutually agreed that parties to this service shall indemnify the other from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of this agreement (including negligent and wrongful conduct) by any person accessing the service.

11.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless EDVES and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising from:

  • Your use of the platform
  • Your violation of these Terms of Use
  • Your violation of any rights of another party
  • Any content you upload or transmit through the platform

12. Third Party Rights

The provisions relating to Terms of Use and Indemnification are for the benefit of EDVES and its:

  • Officers and directors
  • Employees and agents
  • Licensors and channel partners
  • Any third-party information providers to the service

Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.

13. Term & Termination

This Agreement may be terminated by either party without notice at any time for any reason.

13.1 Effect of Termination

Upon termination:

  • Your right to access and use the platform will immediately cease
  • We may delete your account and associated data in accordance with our data retention policies
  • You remain responsible for any outstanding fees or obligations

13.2 Surviving Provisions

The following provisions shall survive any termination of this agreement:

  • Copyright and intellectual property provisions
  • License grants
  • Indemnification obligations
  • Third party rights
  • Limitation of liability
  • Miscellaneous provisions

14. Disclaimer

Notice: EDVES does not endorse or guarantee any vendor or the standard or quality of any product displayed on this platform.

The platform and all materials, information, products, and services included in or available through this platform are provided "AS IS" and "AS AVAILABLE" without warranty of any kind.

14.1 No Warranties

EDVES expressly disclaims all warranties of any kind, whether express or implied, including but not limited to:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of content

14.2 Third-Party Products

Buyers are advised to verify all necessary details and information through the medium provided for doing so on this platform. Any transactions with third parties are at your own risk.

15. Governing Law & Dispute Resolution

These Terms of Use shall be governed by and construed in accordance with the laws of the jurisdiction in which the service is accessed, without regard to its conflict of law provisions.

15.1 Jurisdiction

  • United Kingdom: English law shall apply for users in the UK and EU
  • United States: The laws of the State of Delaware shall apply for US users
  • Nigeria: Laws of the Federal Republic of Nigeria shall apply for users accessing from Nigeria
  • Ghana: Laws of the Republic of Ghana shall apply for users accessing from Ghana

15.2 Dispute Resolution

Any dispute arising from these terms shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration body in the relevant jurisdiction.

Your Agreement

By using the EDVES platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you are accepting these terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these terms.
